BPA Membership Information
The Brand Protection Alliance shall have three classes of members: Charter Members, Regular Members and Associate Members whose qualifications, rights, privileges and obligations are set forth herein and in Board resolutions, not inconsistent with these Bylaws, which may be adopted from time to time. In addition, the Board may, by resolution, eliminate or add classes of membership as it sees fit
Charter Members
- Charter Members are the founding members of the Alliance. They are: Acucote Incorporated; Alexander Watson Associates; Atlantic Paper Company; Dunmore Corporation; Kurz Transfer Products, L.P.; and Water Ink Technologies Incorporated. Dues for Charter Members shall be periodically established by the Board of Directors.
- In accordance with Article IV, Charter Members shall be entitled to vote for officers of the Alliance and all other such matters that shall come before the Alliance that require a vote. Charter Members shall have an ownership stake in the Alliance as set forth in the Operating Agreement.
- Charter Members may appoint a rightful representative to serve as an officer or director of the Alliance or as a member of a work group or committee as established by the Board of Directors from time to time.
- Charter Members shall have such other rights as the Board of Directors determines from time to time.
Regular Members
- Regular Membership shall be open to those meeting the criteria established in Section 3.1, or as otherwise set forth in Board resolutions, following the procedure for admission as set forth in Section 3.3, and paying dues at the level periodically established by the Board of Directors.
- In accordance with Article IV, Regular Members shall be entitled to vote for officers of the Alliance and all other such matters that shall come before the Alliance that require a vote. Regular Members shall have an ownership stake in the Alliance as set forth in the Operating Agreement.

Associate Members
- Associate Membership shall be open to those meeting the criteria established in Section 3.1, or as otherwise set forth in Board resolutions, following the procedure for admission as set forth in Section 3.3, and paying dues at the level periodically established by the Board of Directors.
